These General Terms and Conditions of Use (hereinafter "GCU") define the conditions under which propertips, which is the trading name of NosRezo, makes its propertips Application and propertips Website available to its Users.

Created in 2014, propertips is a community of business introducers that is revolutionising "word of mouth" for the benefit of professionals, self-employed workers and micro-businesses.

The propertips Website and Application enable individuals to introduce professionals.

By using the Website and / or the Application, you agree to these GCUs. If you do not agree with these GCUs, you must not use the Website or the Application.

Article 1 - Definitions:

The following words and expressions are used herein with the following meaning:

"Application" means the propertips application;

“Data Protection Law” refers to all applicable laws related to the processing of personal data including the UK General Data Protection Regulation (“UK GDPR”) and the Data Protection Act 2018;

“Introducer” refers to any natural person registered on the Website and the Application, holding an account with propertips and who can make Introductions ;

“Introduction” refers to the Introducer providing a Prospect’s name, contact details and other information to the Partner via propertips so the Partner can provide his / her professional services to the Prospect and “Introducted” is construed accordingly;

The terms "personal data", "process/processing", "controller", "processor", "recipient(s)", "consent", "file", have the same meaning as set out in Article 4 of the UK GDPR;

“Partner" refers to any person holding an account with propertips and acting in a professional capacity, able to receive an Introduction or to be contacted by an Introducer via propertips;

“Prospect” refers to any person requiring the services of a Partner;

“Sponsor" means any person registered on the Website and the Application who holds an account with propertips and has introduced another Introducer to propertips and propertips confirms that person is the sponsor of the Introducer.

“Users” refers to any person using the Website or the Application and in particular the Introducers , the Partners and the Sponsors;

“Website" refers to the www.propertips.com website.

Article 2 - Description and content of the Website and Application:

The propertips Website and Application enable Users to introduce quality professionals free of charge and to make Introductions.

For Partners who are listed and rated, the propertips Website and Application enable them to develop their business through the Website and Application and receive Introductions from other Users.

The functionalities offered by the Website and the Application are subject to the conditions of use set out in these GCUs.

Article 3 - Use of the Website and the Application - creation of an account by the User:

Use of the Website and the Application is reserved for persons of legal age and capacity.

To use the Website and the Application, the User of the Website and the Application must create an account and accept these GCUs and the Personal Data Protection Policy.

A User may open an account in the following cases:

When he / she receives an invitation from his / her Sponsor: in this case, the User receives an email from propertips sent to his / her email address which then enables him / her to finalise the creation of his / her account;

When the User has a QR code from another Introducer: in this case, the User will receive an email from propertips sent to their email address, which will then allow them to finalise the creation of their account;

When the User receives an identification code from another Introducer: in this case, the User will receive an email from propertips sent to their email address, which will then allow them to finalise the creation of their account.

propertips reserves the right to implement other methods for the creation of an account by a User.

The User completes his/her account by providing the following information:

Personal details: account ID, profile photo, surname, first name, email address, postal address, country, date of birth, gender, place of birth, nationality;

Bank details;

Information relating to his / her professional activity, when he / she acts as a Partner;

Information relating to contacts and exchanges with propertips.

The User is informed of the compulsory or optional elements when filling in his / her account information. Compulsory elements are indicated by an asterisk. All of these elements must be completed in order to be able to create an account and withdraw funds.

Users may activate, deactivate or delete their account at any time.

When creating an account, the User of the Website and the Application undertakes to provide accurate personal information, in particular concerning his/her identity and contact details, and not to create a false identity or usurp that of a third party. If this is not the case, propertips may automatically and without prior notice delete the account, temporarily or permanently, and hold the User of the Website and the Application liable.

Article 4 - Username and password:

Access to the Website and the Application is secured by a unique identifier, which is the User's email address used on the Website and the Application, and a password, chosen by the User, which is personal and non-transferable.

The password consists of a minimum of 8 characters, including numbers, upper and lower case letters and punctuation marks.

Any connection or transmission of data using the User's email address and password on the Website and/or the Application will be deemed to have been made by the User.

Any loss, misappropriation or unauthorised use of the identifier and/or password and the consequences thereof are the sole responsibility of the User of the Website and the Application.

Users of the Website and the Application may choose to change their password at any time by logging into their account.

If the login and/or password of the User of the Website and the Application are fraudulently used or lost, the User of the Website and the Application must inform propertips without delay by sending an email to contact@propertips.com in order to proceed with the immediate cancellation of the login and/or the immediate change of the password upon proof of identity. Access to the Website and Application will then be deactivated and a new password will be generated and communicated to the User of the Website and Application within a reasonable period.

Article 5 - Obligations of the User of the Website and the Application:

Users of the Website and the Application undertake to comply with these GCUs.

Generally speaking, and without this list being considered exhaustive, the User of the Website and/or the Application undertakes not to:

use the Website and/or the Application in such a way that would result in the User breaching the law, contractual commitments or that would constitute fraud;

download, reproduce, record, copy, compile, decompile, share with a third party or exploit, by any process or means, the content of the Website and/or the Application and the results of its use;

hinder or disrupt the operation of the Website and/or the Application, the servers or networks connected to the Website and/or the Application, or refuse to comply with the required conditions, procedures, general rules or regulatory provisions applicable to the networks connected to the Website and/or the Application;

use the Website and/or the Application outside the framework of these GCUs;

attempt to mislead other Users of the Website and/or the Application, by usurping the name or corporate name of other persons, and in particular by posing as an employee, an authorised trainer or a Partner of propertips;

submit, disseminate or use on or from the Website and/or the Application (including messaging and/or chat services) content that infringes upon the rights of third parties, and in particular intellectual property rights (trademark, copyright, models in particular), the rights of individuals (in particular identity theft, defamation, discrimination, insults, libel, harassment, etc.), respect for private life (including the right to privacy), respect for privacy (including the right to an image and the right to protection of personal data), public order and morality (including incitement to racial hatred, offence to human dignity, etc.) and, more generally, the applicable laws in force and the usual rules of politeness and courtesy;

conduct or authorise any text or data mining or web scraping in relation to the Website and/or the Application.

The User of the Website and/or the Application shall ensure compliance with these GCUs, in particular when, as an Introducer, he/she invites Users to use the Website and/or the Application.

Users of the Website and/or the Application are solely responsible for the use of their account and in particular when using the Website and/or the Application to collect, record, consult or share data concerning themselves or third parties, including Personal Data. In this respect, they are informed that they are deemed the "controller" of such Personal Data within the meaning of Data Protection Law and undertake to comply with all the obligations arising therefrom. Users of the Website and/or the Application are also informed that propertips, as the host of content disseminated by Users of the Website and/or the Application, may temporarily or permanently delete without notice an account that violates these GCUs.

Users of the Website and/or Application also indemnify propertips against any claim, action and/or demand from third parties concerning their use of the Website and/or Application.

propertips does not guarantee that the Website or Application will be secure or free from bugs or viruses. Users of the Website and/or Application are responsible for configuring their information technology, computer programmes and platform to access the Website and Application. Users must use their own virus protection software.

Users must not misuse the Website and/or Application by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. Users must not attempt to gain unauthorised access to the Website and/or Application, the server on which they are stored or any server, computer or database connected to them. Users must not attack the Website and/or Application via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, the User would commit a criminal offence under the Computer Misuse Act 1990.

Article 6 - Accessibility and technical support:

The propertips Website and Application are provided to the User on an "as is" basis and accessible according to availability. In principle, the Website and Application are accessible 24 hours a day, 7 days a week, except in the event of force majeure or an event beyond the control of propertips and subject to maintenance periods and possible breakdowns.

propertips reserves the right to make any modification to the Website and/or the Application and/or to modify or delete all or part of the services and functionalities of the Website and/or the Application at any time. Where propertips deems it appropriate, propertips will first inform the User in accordance with the procedures that propertips alone determines.

Article 7 - Protection of personal data:

Article 8 - Responsibility of propertips:

propertips uses commercially reasonable endeavours to ensure the accessibility of the Website and the Application. However, propertips may not under any circumstances be held responsible for any service interruptions and the consequences that may result for the User of the Website and/or the Application.

Use of the Website and the Application is under the exclusive responsibility of the User.

Article 9 - Intellectual property:

propertips permits the Users to download, access and use the Website and the Application for their own personal use.

All of the elements and content of the Website and the Application, and in particular the graphics, visuals, logos, content and the names, brands and domain names of propertips, as well as the propertips database, are the exclusive property of propertips and may not be reproduced, used or represented without the prior written authorisation of propertips, including for derivative works.

The content of the Website and the Application may not be copied, altered, pirated, downloaded, distributed, compiled, reproduced, imitated, decompiled, rented or sold, in any way whatsoever, without the prior written consent of propertips.

Any infringement of propertips' intellectual property rights will result in legal action.

Article 10 - Hypertext links and content:

The content on the propertips Website and Application is provided for general information only. It is not intended to amount to advice on which Users should rely. Users must obtain professional or specialist advice before taking, or refraining from, any action on the basis of such content.

The propertips Website and Application may include information and materials uploaded by other Users. This information and these materials have not been verified or approved by propertips. The views expressed by other Users do not represent propertips’ views or values.

The propertips Website and Application may contain hypertext links redirecting Users to websites operated by third parties. These links are provided for information purposes only. propertips has no control over these sites and accepts no responsibility for access, content or use of these sites or for any damage that may result from consulting them.

The decision to activate these links is the full and entire responsibility of the Users.

Users may only link to the propertips Website and/or Application with propertips’ written permission.

Article 11 - Changes to the General Terms and Conditions:

The GCUs may be modified at any time by propertips.

Modifications will come into force as soon as they are posted on the Website and the Application. By continuing to access and use the Website and/or Application, the User consents to the modified GCUs.

Article 12 - No tacit waiver - Independence of clauses:

The fact that propertips does not avail itself of any clause of the GCUs may not under any circumstances be considered as a waiver by propertips of its right to avail itself of the said clause or as a waiver of its right to avail itself of another clause of these GCUs.

If any one of the clauses of the GCUs is declared null and void, deemed unwritten or invalid by a final judicial decision, this clause will be deemed detachable from the other clauses of the GCUs and will in no way affect their validity.

Article 13 – Liability:

propertips does not exclude or limit in any way its liability where it would be unlawful to do so. This includes liability for death or personal injury caused by propertips’ negligence and for fraud.

propertips excludes all implied conditions, warranties, representations or other terms that may apply to the Website, the Application and/or any content on them.

propertips will not be liable to any User for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

use of, or inability to use, the propertips Website or Application; or

use of or reliance on any content displayed on the propertips Website or Application.

propertips will not be liable, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for loss of profits, sales, business, or revenue; business interruption; loss of anticipated savings; loss of business opportunity, goodwill or reputation; or any indirect or consequential loss or damage.

Article 14 – Entire agreement, assignment and third-party rights:

This agreement is the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between them, whether written or oral, relating to its subject matter.

The User cannot assign or transfer his/her rights or obligations under these GCUs without propertips’ written consent.

These GCUs do not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these GCUs.

Article 15 - Applicable law:

These GCUs are governed by English law.

The User of the Website and/or the Application accepts that any dispute relating to the interpretation and/or performance of these GCUs shall, as far as possible, be settled by amicable negotiation. Failing this, and within the limits of applicable law, any dispute will be referred to the English courts.

The GCUs are written in English. If they are translated into one or more foreign languages, only the English text will be deemed authentic in the event of a dispute.
